End User License Agreement (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA" OR "AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACTIVATING, OR UTILIZING THE OSMONITOR SOFTWARE APPLICATION. BY ENGAGING IN ANY OF THESE ACTIONS, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND YOUR ENTERPRISE ORGANIZATION AND AGREE TO BE UNCONDITIONALLY BOUND BY ALL TERMS STIPULATED HEREIN.
1. Software License Grant & Proprietary Limitations
The proprietary executable binaries, libraries, user interfaces, scripts, configuration settings, and associated localized electronic documentation encompassing the OsMonitor employee monitoring software product (collectively referred to as the "Software" or "OsMonitor") are licensed, not sold, to the Licensee ("Customer", "User", "you") by Nanjing Wangya Computer Co., Ltd. ("Company", "we", "us", "our"). This Agreement does not convey, transfer, or assign any title, ownership interest, or comprehensive commercial proprietary rights in or to the Software infrastructure to the Licensee.
Subject to your complete fulfillment of economic obligations and timely verification of commercial licensing invoices, the Company grants you a limited, non-exclusive, non-transferable, revocable, non-sublicensable legal runtime right to execute and operate the Software within internal corporate computational environments. All structural intellectual parameters not explicitly detailed as granted herein remain reserved strictly and exclusively by the corporate entity of Nanjing Wangya Computer Co., Ltd.
2. Scope of Permitted Allocation & Usage
The operational authorization infrastructure granted under this EULA is strictly restricted to internal corporate oversight, endpoint resource management, or lawful data protection objectives using OsMonitor. The Licensee is authorized to execute the following administrative actions:
- Install and execute the structural server modules and client tracking agents exclusively on the exact numerical volume of native endpoint host computers, workstations, or server systems specified within the valid commercial purchase documentation or licensing tier;
- Generate a single, unaltered, non-distributed programmatic copy of the source setup binaries strictly for archival, historical data logging continuity, or disaster recovery backup purposes; and
- Utilize the monitoring dashboards, administrative command portals, and data logging modules solely within the proprietary scope of internal business operations, employee workflow optimization, and organizational digital asset governance.
3. Absolute Restrictions & Prohibited Conduct
Any deviation from the structural parameters established within this section constitutes a fundamental breach of this contract and an immediate infraction against international proprietary rights. The Licensee explicitly covenants, represents, and warrants that they shall not, under any technical scenario, directly or through intermediate third-party agents:
- Bypass, crack, patch, modify, neutralise, or alter the license verification protocols, cryptographic validation loops, or structural registration modules integrated within the binary execution layers of OsMonitor;
- Reverse engineer, decompile, deobfuscate, translate, trace, disassemble, or attempt via any dynamic behavioral analysis tool to extract or replicate the underlying source code, structural algorithms, or internal communication network protocols of the Software components;
- Modify, restructure, repackage, adapt, or create derivative works of any file, dynamic-link library (DLL), executable payload, or visual interface element within the application directory;
- Distribute, redistribute, assign, sell, lease, sub-license, rent, multi-cast, disclose via public networks, or commercially exploit any authorized registration files, cryptographic license keys, or activation codes generated by the Company; or
- Deploy the client modules onto computing assets or endpoint machines without appropriate corporate ownership validation or full lawful authorization within the governance framework of the operating jurisdiction.
4. Intellectual Property Rights
The Software, its visual designs, structural layouts, proprietary algorithms, tracking mechanisms, binary dependencies, icons, documentation, and all international copies thereof are protected under international copyright treaties, trade secret frameworks, and intellectual property statutes. The layout elements and operational nomenclature remain the exclusive property of the Company.
The proprietary product name 'OsMonitor', commercial identities, and associated software brand assets are owned exclusively and absolutely by Nanjing Wangya Computer Co., Ltd.
No runtime license grant or commercial interaction outlined within this Agreement shall be interpreted as transferring, implying, or vesting any ownership rights, brand utilization allowances, or marketing proprietary permissions to the Licensee or any related subsidiary organization.
5. Total Disclaimer of Covenants & Warranties
THE PROPRIETARY APPLICATION PLATFORM AND RELATED SERVICES ARE PROVIDED EXTENSIVELY ON AN "AS IS" AND "AS AVAILABLE" STRUCTURAL BASIS, WITHOUT ANY EXPRESS, IMPLIED, OR STATUTORY WARRANTY OR CONDITION OF ANY LEGAL SPECIES. NANJING WANGYA COMPUTER CO., LTD. EXPLICITLY DISCLAIMS ALL APPLICABLE WARRANTIES, INCLUDING IMPLIED WARRANTIES OF PERFORMANCE STABILITY, ABSOLUTE ACCURACY, SECURITY IMMUNITY, FITNESS FOR SPECIFIC COMPLIANCE STANDARDS, OR MERCHANTABLE QUALITY.
THE COMPANY DOES NOT CARRY OUT OPERATIONS TO ASSURE THAT THE APPLICATION PLATFORM RUNTIMES WILL REMAIN COMPLETELY FREE FROM MINOR DEVIATIONS, INTERNAL GLITCHES, OR LOCAL ENVIRONMENT CONFLICTS. UNDER NO JURISDICTIONAL INTERPRETATION SHALL THE COMPANY STAND ACCOUNTABLE OR LIABLE FOR INCIDENTS RELATED TO SYSTEM DATA LOSS, UNEXPECTED DATABASE CORRUPTION, TOTAL BUSINESS INTERRUPTIONS, CRITICAL STORAGE FAILURES, WORKPLACE SYSTEM DOWN-TIME, OR PREDICTED OR UNPREDICTED CORPORATE PROFIT LOSSES SUSTAINED THROUGH YOUR IMPLEMENTATION OR INABILITY TO MAINTAIN THE ON-PREMISE SOFTWARE ARCHITECTURE.
6. Comprehensive Exclusion & Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY THE MANDATORY PROVISIONS OF APPLICABLE LOCAL LABOR AND CIVIL LAW STATUTES, IN NO EVENT AND UNDER NO TORTS OR CONTRACTUAL ARGUMENTS SHALL NANJING WANGYA COMPUTER CO., LTD., ITS EXECUTIVE BOARDS, DIRECTORS, INVESTORS, EMPLOYEES, OR HOLDING AGENCIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, COMPENSATORY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER.
THIS COMPREHENSIVE LIMITATION ENCOMPASSES ALL COMPLAINTS RELATING TO PROCUREMENT COST OVERRUNS FOR REPLACEMENT DIGITAL INFRASTRUCTURE, THIRD-PARTY SYSTEM COMPROMISE, LABOR CONFLICTS, CORRUPT ENCRYPTED BACKUPS, OR FISCAL DISRUPTIONS LINKED WITH MANAGEMENT ACTIONS EXECUTED VIA THE DASHBOARD INTERFACES, REGARDLESS OF WHETHER THE COMPANY HAD BEEN SYSTEMATICALLY APPRISED, FOREWARNED, OR MADE AWARE OF THE POTENTIAL ARISAL OF SUCH INFRASTRUCTURE INCIDENTS. THE AGGREGATE FINANCIAL DEFENSE COVERAGE EXTENDED BY THE COMPANY FOR ALL CUMULATIVE CONFLICTS SHALL REMAIN RIGIDLY CAPPED AT THE EXACT SUM EQUAL TO THE ORIGINAL ACQUISITION FEE PAID BY THE LICENSEE FOR THE SOFTWARE LICENSE KEY TIER IN QUESTION.
7. Definitive Contractual Termination Protocol
This Agreement and the administrative runtime authorization keys remain active until systematically terminated according to this protocol. The Licensee may terminate the EULA at any period by destroying all proprietary binary installation setups and uninstalling all network endpoint nodes. However, if the Licensee fails to strictly uphold, perform, or honor any restrictive covenant, copyright boundary, or payment obligation outlined within this document, this Agreement and the underlying license grant shall **automatically terminate without administrative warning or formal written notice** from the Company.
Upon the instance of structural termination, all cryptographic licenses issued to the Customer shall immediately convert to invalid status. The Licensee shall be under an immediate, mandatory obligation to completely erase, wipe, purge, and structurally uninstall the Software from all server systems, local databases, workstation nodes, and backup repositories, and completely cease utilizing any visual dashboard elements associated with the OsMonitor platform.
